Legal Counsel / Manager Legal

Responsibilities:

• Take preemptive measures to avoid legal risks and conflicts. Review legal aspects of transactional due diligence. Advise and draft legal documents including but not limited to MoU’s, LoI’s, Legal Notices’, contracts, agreements, resolutions, minutes of meetings, and other legal documents as required.
• Review and legal advice and negotiation of contracts with customers . Oil amp; gas related contract experience is an advantage.
• Provides legal advisory on matters related to, legal implications of internal policies and procedures; agreements related to corporate matters. Negotiate and draft complex transactional agreements.
• Represents the company in various task forces, events, committees, in the appointment of external lawyers and experts for specific legal matters.
• Supervises the monitoring of external lawyers and experts. Manages and supervises courts or arbitration proceedings.
• Liaise with Government ministries, agencies, and authorities on legal and administrative matters pertaining to the company. Act as the official department to communicate with regulators.
• Prepare corporate governance documents, power of attorneys, and other authorization documents and attend to necessary registrations essential for corporate governance transactions.
• Carry out legal research of relevant laws, regulations and pertinent data and undertake comparative analysis in preparation for lawsuits such as employment law issues, law sources, statutes, recorded judicial decisions, etc.
• The post-holder must be flexible and responsive, comfortable working at short notice, to tight deadlines and for sustained periods of high intensity, as required to meet transactional requirements.
• The job holder may be required to undertake additional duties, which may be expected and forms part of the function of the job.

Requirements

Education amp; Experience:

• Bachelors or Master’s Degree in Law.
• Minimum 10 12 years of work experience in similar field.
• An attorney with at least 10 years of professional experience in in-house legal roles in the oil amp; gas / civil / construction industry, acquired in a leading law firm and/or law department of a multinational corporation.
• Fluency in Microsoft Office suite (Outlook, Excel, Word, PowerPoint, etc.).
• Excellent written and verbal communication skills.
• Experience in Qatar or Middle east will be an advantage.
• Strong fundamental knowledge about Legal procedures.
• Arabic language is a must.
• Good quality training in large commercial firm or in-house.
• Good working knowledge of contract, intellectual property, labor law and general commercial law.
• Strong drafting and negotiating skills.
• Broad commercial contracting experience
• Experience of Mamp;A transactions is a plus.

Skills amp; Competencies:

• Strong fundamental knowledge about Legal procedures.
• Arabic language is a must.
• Good quality training in large commercial firm or in-house.
• Good working knowledge of contract, intellectual property, labor law and general commercial law.
